1. Introduction
Welcome to Someo (“Someo”, “we”, “us”, or “our”). Someo is a social media automation platform that provides tools to automate comment workflows, deliver tracked links, capture leads, and analyse campaign performance across social media platforms.
These Terms and Conditions (“Terms”) govern your access to and use of our platform, website, APIs, and related services (collectively, the “Services”). Please read them carefully.
2. Acceptance of Terms
By creating an account, connecting a social media account, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using Someo on behalf of an organisation, business, or agency, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” include that entity.
If you do not agree to these Terms, you must not access or use the Services.
3. Description of Service
Someo enables users to create keyword-based campaigns on connected social media accounts. For example, a user may configure a campaign so that anyone who comments “GUIDE” on a post automatically receives a personalised reply containing a tracked link. Someo captures that interaction as a lead and records it in your dashboard.
Supported platforms may include Instagram, Facebook, WhatsApp, YouTube, TikTok, Telegram, and others, depending on API availability and approval status at the time of use. Not all features are available on all platforms. Platform support may change without notice due to third-party API changes.
4. Account Registration
- You must provide accurate, current, and complete information when registering for an account.
- You are responsible for maintaining the confidentiality of your login credentials and must not share them with unauthorised parties.
- You are responsible for all activity that occurs under your account or workspace, including activity by team members you invite.
- You must promptly notify us at support@someo.app if you suspect unauthorised access to your account.
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
5. User Responsibilities
You are solely responsible for:
- The content, accuracy, and legality of your campaigns, keyword triggers, reply messages, and tracked links
- Ensuring your offers, promotions, and marketing claims are truthful and compliant with applicable advertising law
- The collection, storage, and use of lead data and customer data in compliance with applicable privacy law
- Maintaining valid permissions and access tokens on all connected social accounts
- All actions taken by team members or collaborators added to your workspace
- Complying with applicable laws, regulations, and platform terms in your country or region
6. Acceptable Use
You may use Someo for lawful business, creator, marketing, lead capture, support, and communication workflows, including:
- Capturing leads from social media comments and replies
- Delivering product links, guides, or offers to users who request them
- Running keyword campaigns for product launches, promotions, or giveaways
- Managing leads and customer conversations within your workspace
- Providing after-sale support or onboarding follow-up via WhatsApp or Telegram
- Agency use — managing client campaigns and workspaces on their behalf
7. Prohibited Activities
You must not use Someo to:
- Send spam, unsolicited bulk messages, or cold outreach to users who have not engaged with your content
- Generate fake engagement, bot-driven comments, or artificial interactions
- Auto-follow, auto-like, auto-share, or auto-view content on any platform
- Scrape, harvest, or store social media credentials, login tokens, or user data beyond what the platform API provides
- Impersonate another person, brand, influencer, or organisation
- Distribute phishing links, malware, or deceptive content
- Create campaigns containing illegal, hateful, discriminatory, or harassing content
- Hard-gate content delivery behind forced follows, shares, saves, or comments where this is prohibited by platform terms
- Send messages outside permitted messaging windows (e.g. WhatsApp 24-hour session rules) without the required opt-in
- Attempt to bypass Someo’s rate limits, security controls, or access restrictions
- Use the Services for any purpose that violates applicable law in any jurisdiction
- Resell, sublicense, or provide API access to Someo to third parties without our written consent
Violation of this section may result in immediate account suspension or termination without refund.
8. Social Platform Compliance
Someo uses official APIs provided by social media platforms where available. Despite this, you remain solely responsible for ensuring your campaigns and content comply with each platform’s terms of service, including but not limited to:
- Meta Platform Terms, Community Standards, and Advertising Policies (Instagram, Facebook, WhatsApp)
- WhatsApp Business Messaging Policy, including opt-in requirements and 24-hour session windows
- YouTube API Services Terms of Service and Google API usage policies
- TikTok Developer Terms of Service and Community Guidelines
- Telegram Bot API Terms of Service
Someo does not guarantee that every feature is available on every platform. Platform APIs may change, restrict, or remove functionality at any time. Someo may include advisory safety checks for potentially non-compliant content, but such checks are not exhaustive and do not relieve you of compliance responsibility.
9. Connected Accounts and Permissions
When you connect a social media account, you grant Someo limited authorisation to access that account solely to deliver the features you have enabled. Specifically:
- Access is scoped to the permissions you approve via the platform’s OAuth or API consent flow
- You may disconnect any account at any time from your Account Settings page
- If a permission expires, is revoked, or a token becomes invalid, related automation features will stop working until reconnected
- You are responsible for ensuring connected accounts remain in good standing on the respective platform
- Someo does not store your platform passwords — only API tokens granted through official OAuth flows
10. Lead Data and Customer Data
You own the lead data and customer data collected through your Someo campaigns. By using the Services, you grant Someo a limited licence to process this data solely to provide the Services to you.
- You are responsible for having lawful basis, consent, or permission to collect and use lead data under applicable privacy law (e.g. GDPR, CCPA)
- You must not use lead data for purposes beyond what your leads reasonably expect based on how they engaged with your campaign
- You must not share or sell lead data collected via Someo to third parties without appropriate consent
- Someo processes lead data only to operate the platform and does not use it for its own marketing or advertising
See our Privacy Policy for full details on how data is handled.
11. Payments, Plans, and Billing
Someo offers both free and paid subscription plans. Paid plans unlock higher limits which may include connected accounts, active campaigns, leads processed per month, team members, analytics features, and platform integrations.
- Paid subscription fees are billed in advance on a recurring monthly or annual basis through our payment processor (Stripe)
- All prices are displayed in the currency shown at checkout and may be subject to applicable taxes
- You authorise Someo to charge your payment method on each billing date
- If a payment fails, we may retry the charge and your account may be downgraded or suspended until payment is resolved
12. Free Trials and Cancellations
Someo may offer free trial access with limited features or usage caps. Trial access is provided at our discretion and may be modified or withdrawn at any time.
You may cancel your paid subscription at any time from your Billing settings. Upon cancellation:
- Your access to paid features will continue until the end of the current billing period
- You will not be charged for the next billing cycle
- Your account and data will be retained for a reasonable period after cancellation unless you request deletion
- Downgrades to a lower plan take effect at the next billing cycle unless otherwise stated
13. Refund Policy
Payments for Someo subscriptions are generally non-refundable unless required by applicable law or expressly stated in a specific offer at the time of purchase.
If you believe there has been a billing error, duplicate charge, or other payment issue, please contact us at support@someo.app within 30 days of the charge and we will review your request.
14. Intellectual Property
Someo and its licensors own all rights, title, and interest in the platform, software, code, design, branding, trademarks, documentation, and all technology that makes up the Services. Nothing in these Terms transfers any ownership rights to you.
You retain full ownership of your own content, campaigns, tracking links, brand assets, and customer data. By using the Services, you grant Someo a limited, non-exclusive licence to process and display your content solely to provide the Services.
You must not copy, modify, reverse-engineer, decompile, or create derivative works from any part of the Someo platform without our prior written consent.
15. User Content
You are solely responsible for all content you create, upload, or distribute through Someo, including:
- Keyword campaign triggers and automated reply messages
- Tracked links and landing page destinations
- Lead capture form questions and custom fields
- Promotional offers, product descriptions, and marketing claims
- Any materials uploaded or referenced in your campaigns
You represent that you have all necessary rights to use and distribute your content and that it does not infringe any third-party intellectual property, privacy, or other rights. Someo reserves the right to remove content that violates these Terms or applicable law.
16. Third-Party Services
Someo relies on third-party service providers to operate the platform, including hosting and infrastructure, database services, payment processors, email delivery providers, analytics tools, and social platform APIs. Someo is not responsible for:
- Outages, errors, or disruptions caused by third-party service providers
- Changes to third-party APIs that limit, restrict, or remove platform functionality
- The privacy practices or terms of service of third-party platforms you connect
- Content or actions of any third party accessed through links delivered via your campaigns
Your use of third-party services connected to Someo is governed by the respective provider’s terms and policies.
17. Service Availability
Someo aims to provide a reliable and high-availability service, but does not guarantee uninterrupted or error-free operation. The Services depend on infrastructure and APIs that are partly outside our control.
Automation may fail or be delayed due to:
- Platform API rate limits, outages, or policy changes
- Expired, revoked, or invalid connected account tokens
- Errors in user campaign configuration
- Scheduled maintenance or unplanned downtime
- Network issues or third-party infrastructure failures
We will endeavour to communicate planned maintenance in advance and to restore service as quickly as possible in the event of an outage.
18. Beta Features and Platform Limitations
Someo may make certain integrations or features available in a beta, experimental, or early access state. Beta features:
- May be incomplete, unstable, or subject to significant changes
- Are provided without warranty and may be removed at any time
- May require platform approval, API review, or additional setup steps not managed by Someo
Some integrations — including but not limited to TikTok, LinkedIn, X/Twitter, and Telegram — may have restricted, partial, or approval-gated API support that limits available features. Someo will communicate the status of each integration in the platform dashboard.
19. Suspension and Termination
Someo may suspend, restrict, or permanently terminate your access to the Services, with or without notice, if we determine in our reasonable judgement that you have:
- Violated any provision of these Terms
- Engaged in prohibited activities (see Section 7)
- Created risk or legal exposure for Someo, our users, or third-party platforms
- Provided false or misleading information during registration
- Failed to pay subscription fees when due
You may terminate your account at any time by contacting us or using the account deletion option in your settings. Upon termination, your right to use the Services ceases immediately, though data retention obligations may apply as described in our Privacy Policy.
20. Disclaimers
The Services are provided “as is” and “as available” without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Someo does not guarantee or warrant:
- Any specific number of leads, clicks, replies, or conversions from your campaigns
- That your campaigns will be approved by or remain compliant with social platform policies
- Deliverability of messages, replies, or DMs to any particular user or platform
- That the Services will meet your specific business requirements
- Uninterrupted, error-free, or secure operation of the Services
21. Limitation of Liability
To the maximum extent permitted by applicable law, Someo and its operators, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, leads, customers, or business opportunity, arising out of or in connection with your use of or inability to use the Services.
In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.
Where a specific monetary cap on liability is required by the jurisdiction governing these Terms, our total liability shall not exceed the greater of the amount you paid to Someo in the three months preceding the claim or the minimum amount required by law.
22. Indemnification
You agree to defend, indemnify, and hold harmless Someo and its operators, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services or violation of these Terms
- Your campaign content, messages, links, or offers
- Your collection, use, or misuse of lead data or customer data
- Your violation of any social platform terms of service or API policies
- Your violation of any applicable law or third-party rights
- Any activity by team members or collaborators under your workspace
23. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you by email or in-app notification.
Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services and cancel your account.
24. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Someo is registered, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless alternative dispute resolution is agreed upon in writing.
TODO: Specify governing jurisdiction, dispute resolution mechanism, and arbitration clause (if applicable) before production launch.
